 1. Description of Sweepstakes

Welcome to the Prime Storage “Store & Soar” Sweepstakes (the “Sweepstakes”).

The Sweepstakes is sponsored by Prime Group Holdings, LLC (the “Sponsor”), located at 395 Broadway, Saratoga Springs, NY 12866 and administered by Trymark Consulting Group, L.L.C., P.O. Box 295, Gainesville, VA  20156 (collectively, the “Sweepstakes Entities”). The terms “you” or “your” mean the person who is entering and/or to whom the prize (as defined below) is issued to upon satisfaction of the Official Rules set forth in this Sweepstakes. Entry in the Sweepstakes is expressly conditioned upon acceptance of and compliance with all of these Sweepstakes “Official Rules”. Sweepstakes participants may be required to sign paperwork issued by the Sponsor.

2. Sweepstakes Period

The Sweepstakes will begin on October 13, 2025 and conclude on December 15, 2025 (the “Sweepstakes Period”).

The random drawing (“Drawing”) will take place on or about December 17, 2025.

3. Eligibility

The Sweepstakes is only open to legal residents of the United States who are at least 21 years of age and reside within a twenty-five (25) mile radius of Sponsor’s Eligible Retail Locations set forth in Exhibit A attached hereto (each an “Eligible Retail Location”). Employees, officers and directors of the Sponsor, its affiliates, advertising and promotion agencies, retailers, distributors, and each of such employees’, officers’, and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to participate in the Sweepstakes or receive the prize. Void outside the participating Eligible Retail Location area specified above and where prohibited by law.

4. Action Required

There are two (2) methods of receiving an entry in this Sweepstakes (each, an “Entry”). Eligible participants may enter via one (1) of the following two (2) methods of entry as outlined below to enter this Sweepstakes (the “Sweepstakes Requirements”).

(i) Agreement Entry

During the Sweepstakes Period, eligible participants must sign and submit a storage unit Rental Agreement (the “Agreement”). The Agreement can be submitted at one of the Eligible Retail Locations, in person, via the telephone or via the Eligible Retail Location’s individual store website. For avoidance of doubt, any Agreement completed at a location not listed as one of the Eligible Retail Locations above, will not qualify as eligible for an Entry into the Sweepstakes. By completing and submitting an Agreement, you will be required to agree to the terms of the Agreement, which may include presentation of a major credit card to obtain a storage unit at the Eligible Retail Location. If you do not agree to the terms of the Agreement, you cannot enter the Sweepstakes via this method of entry. Participants will be responsible for any fees and/or other costs and expenses associated with submission of Agreement not described herein, including, but not limited to, additional occupancy charges such as damage to the unit space or facility, any default/recurring charges, clean up or disposal charges, and any applicable padlock cutting/removal fees. Important Note: Agreement will be subject to automatic renewal each month. In the event a participant no longer desires their rental unit following the first month of their Agreement, the participant must notify the participating location to request cancelation at least fifteen (15) calendar days prior to the participant’s monthly renewal date. The monthly renewal or payment of a rental unit is not required to enter the Sweepstakes and doing so will not increase your chances of winning the prize.

Or, (ii) Form Entry

Alternatively, eligible participants can enter the Sweepstakes without an Agreement by filling out this form at https://primestorage.com/winatrip/ (“Form”). Any Form that is not complete in its entirety or has erroneous information will be deemed void and will not qualify as an Entry into this Sweepstakes at Sponsor’s sole discretion. There is no fee or cost associated with the Form method of entry.

Limit of one (1) Entry per eligible participant throughout the Sweepstakes Period, regardless of method of entry.

5. Grand Prize package (1):

The Grand Prize package: A trip for four (4) (winner and up to three (3) guests) to Hawaii (winner’s choice of Hawaiian Island, subject to Sponsor’s approval and sole discretion), which includes: (i) roundtrip commercial coach air transportation from a major U.S. gateway airport near winner’s residence (as determined by Sponsor) to chosen Hawaiian Island; (ii) hotel accommodations for six (6) days/six (5) nights at a hotel designated by Sponsor; (iii) ground transportation to/from airport from both winner’s residence and destination hotel; (iv) special excursion(s) (as determined by Sponsor); and (v) a $5,000.00 stipend for winner (intended to cover only the winner’s travel expenses, taxes and/or any administrative or miscellaneous fees) (awarded in the form of a $5,000.00 check). Total maximum Estimated Retail Value (“ERV”) of Grand Prize package is $25,000.00. Actual value may vary based upon location of departure city and Hawaiian Island destination selected. The value for travel portion of prize is an estimate made before the Sweepstakes Period begins. Travel must be completed by December 31, 2026. If a potential winner is unable to complete travel by December 31, 2026, the prize will be forfeited, and Sponsor will have no further obligation to such winner. Time permitting, Sponsor will use reasonable efforts to award the prize to an alternate winner.

6. Winner Selection and Notification

The Drawing will be conducted from among all eligible entries received to select one (1) potential Grand Prize winner. Drawing will be conducted by Trymark Consulting Group, L.L.C., an independent judging organization whose decisions are final and binding. Odds of winning will depend on the total number of eligible Entries received during the Sweepstakes Period. The potential winner may be notified by phone, e-mail, or text message (Data rates may apply. See your wireless carrier for text message rates and capabilities). In the event that any phone call/voice message, e-mail or text message to the potential winner is returned as undeliverable or a response to any given e-mail, text message, or phone call/voice message is not received within three (3) calendar days of the date of its issuance or potential winner is not in compliance with these Official Rules, the prize may be forfeited and, at the Sponsor’s sole discretion, an alternate winner may be selected. Potential winner will be required to execute and return an affidavit of eligibility and a liability release and, where legal, a publicity release and IRS Form W-9 within three (3) calendar days of the date of issuance of those documents or prize may be forfeited and, at Sponsor’s discretion, awarded to an alternate winner. Sponsor shall not be responsible for failed attempts to notify the eligible winner, and no responsibility is assumed by Sponsor for any correspondence returned as undeliverable or any other problems associated with attempt(s) to notify the winner. Odds of winning depend upon the number of eligible entries received. The purchase of any goods or services will not increase any participant’s chances of winning.

7. General Prize Restrictions

Travel must be completed by December 31, 2026. If potential winner is unable to complete travel by December 31, 2026, the prize will be forfeited, and Sponsor will have no further obligation to such winner. Time permitting, Sponsor will use reasonable efforts to award the prize to an alternate winner. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice at least fourteen (14) days prior to travel. Travel is subject to capacity controls, availability, blackout dates and certain other restrictions, all of which are subject to change. Blackout dates may include but are not limited to all major holidays. No stopovers are permitted on airline tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return of the trip. The “Released Parties” (as defined below) are not liable for any expenses incurred as a consequence of the cancellation or delay of any flight or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations beyond their control. Grand Prize package is not transferable, must be redeemed in-full, cannot be redeemed for cash, or substituted except by Sponsor, which reserves the right, at its discretion, to substitute the prize or portion of a prize with one of comparable or greater value. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Released Parties are not responsible and will have no liability if the winner and/or any of their guests are, for any reason, not permitted to travel by the relevant airport authorities, or if they miss a flight or any other element of travel. Winner and all guests must travel on the same itinerary. Winner is responsible for any loss of prize or portion of prize after it has been delivered. Sponsor will not replace any lost or stolen portions of the prize. An unclaimed and/or unused prize element will be forfeited. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. The winner may elect to participate in any or all portions of the prize with fewer than the maximum number of permitted guests, or with guests who do not participate in all prize-related activities. In such cases, the prize will be awarded in full to the winner, and any unused portion of the prize related to guest participation (whether due to fewer guests or partial participation) will be forfeited and shall not be subject to additional or substitute compensation. Each guest of winner must be of legal age of majority in his/her jurisdiction of residence (and at least 18), unless he/she is winner’s child or legal ward. Each guest (or winner, if a guest is winner’s child or legal ward) must execute and return a travel liability/publicity release prior to travel. Winner and guests are responsible for obtaining all travel documents required by airline and must comply with all applicable hotel check-in requirements, such as presentation of a major credit card. Winner and guests must comply with all applicable rules and regulations at all destination locations. Sponsor reserves the right to deny participation or remove winner or any guest from any destination location if engaged in illegal conduct or behaving in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any destination location or appears to be under the influence of drugs or alcohol. Winner will be responsible for all taxes (including federal, state, and local taxes) and any other costs and expenses associated with acceptance and use of the prize not described herein as being awarded, including but not limited to luggage fees, additional ground transportation, meals, room service, laundry service, gratuities and souvenirs. The prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). All prize details are at Sponsor’s sole discretion.

8. Additional Terms

Administration: The Sponsor expressly reserves the right to amend, suspend or terminate this Sweepstakes at any time without prior notice or consent. Administration of this Sweepstakes is at the sole discretion of the Sponsor. Sponsor reserves the right to restrict at any time any Agreement holder from participating in this Sweepstakes for any reason. Any questions relating to eligibility, these Official Rules or any other questions concerning this Sweepstakes will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding with respect thereto. No groups, clubs, corporations, companies, partnerships, or organizations may participate in this Sweepstakes or reproduce or distribute any portion of these Official Rules to their members.

Release and Waiver of Liability: By participating in the Sweepstakes, participants agree to release, defend, indemnify and hold harmless the Sweepstakes Entities, Eligible Retail Locations, and any of their respective affiliates, parents, partners, subsidiaries, advertising and Sweepstakes agencies, retailers, suppliers, distributors directors, and each of their respective officers, directors, managers, employees, shareholders, members, representatives and agents, (collectively, the “Released Parties”) from and against any and all liability claims or actions of any kind whatsoever (however named or described) for injuries, death, damages or losses to persons and property which may be sustained in connection with: (i) your participation in the Sweepstakes; and (ii) the receipt, use or misuse of the prize, or while preparing for, participating in, and/or traveling to any Sweepstakes-related activity, including those damages caused by the Sponsor’s own negligence. The Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use or misuse of the prize. The Sponsor makes no warranties or guarantees, either express or implied, in connection with any element of the prize. In consideration of the prize, each individual hereby agrees and consents, without further authorization or notification, compensation or remuneration of any kind, to the use of such individual’s name, photograph, likeness (including his/her voice), biographical information and statements concerning the Sweepstakes, in any and all advertising, Sweepstakes and other publicity conducted by the Sponsor, its parents, subsidiaries and affiliates.

Governing Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants and the Sponsor in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the States of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

Dispute Resolution: You agree that any claim or dispute that has arisen or may arise relating in any way to or arising out of the Sweepstakes, or these Official Rules will be resolved individually, without resort to any form of class action and exclusively by final and binding arbitration in accordance with the Federal Arbitration Act (“FAA”, Title 9 of the United States Code) under the auspices of the American Arbitration Association; the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and Judgment upon such arbitration award may be entered in any court having jurisdiction. You have the right to opt-out of this arbitration provision. If you do not agree to this mandatory arbitration provision with regard to this Sweepstakes, then within thirty (30) calendar days from the date of your Entry, you may opt-out of this, and only this, part of the Official Rules by notifying the Sponsor of such opt-out request by providing written notice and mailing such notice to: Prime Storage “Store & Soar” Sweepstakes – Arbitration Rejection, P.O. Box 295, Gainesville, VA 20156. Any opt-out received after the thirty (30) calendar day time period will be invalid, and you must pursue your claim, if any, via arbitration pursuant to these Official Rules. Any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, if any, and in no event shall you be entitled to receive attorney’s fees or other legal costs or expenses. In the event that you opt-out of this mandatory arbitration provision, any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by a federal or state court located in New York County, New York.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SPONSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO REDEMPTION OF THE SWEEPSTAKES, EVEN IF FORESEEABLE OR EVEN IF THE SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous: No waiver of any of the provisions of these Official Rules shall be deemed or shall constitute a waiver of any other provisions hereof, nor shall waiver constitute a continuing waiver unless otherwise expressly provided. If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Rules, which will otherwise remain in full force and effect.

Winner’s List: The name of the winner (available after January 31, 2025) and/or a copy of these Official Rules may be obtained by mailing a self-addressed, stamped #10 envelope to: Prime Storage “Store & Soar” Sweepstakes – Winner/Rules (please specify which), P.O.
