THESE RULES GOVERN ALL ASPECTS OF PARTICIPATION AND THE PRIZE AWARD.

 1. Description of Sweepstakes

Welcome to the Prime Storage “Stash It & Splash It” Sweepstakes (the “Sweepstakes”).

The Sweepstakes is sponsored by Prime Group Holdings, LLC (the “Sponsor”), located at 395 Broadway, Saratoga Springs, NY 12866 and administered by Trymark Consulting Group, L.L.C., P.O. Box 295, Gainesville, VA  20156 (collectively, the “Sweepstakes Entities”). The terms “you” or “your” mean the person who is entering and/or to whom the prize (as defined below) is issued to upon satisfaction of the Official Rules set forth in this Sweepstakes. Entry in the Sweepstakes is expressly conditioned upon acceptance of and compliance with all of these Sweepstakes “Official Rules”. Sweepstakes participants may be required to sign paperwork issued by the Sponsor.

2. Sweepstakes Period

The Sweepstakes will begin on September 15, 2025 and conclude on October 27, 2025 (the “Sweepstakes Period”).

The random drawing (“Drawing”) will take place on or about October 30, 2025.

3. Eligibility

The Sweepstakes is only open to legal residents of the United States who are at least 18 years of age and reside within a twenty-five (25) mile radius of Sponsor’s Eligible Retail Locations set forth in Exhibit A attached hereto (each an “Eligible Retail Location”). Employees, officers and directors of the Sponsor, its affiliates, advertising and promotion agencies, retailers, distributors, and each of such employees’, officers’, and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to participate in the Sweepstakes or receive the prize. Void outside the participating Eligible Retail Location area specified above and where prohibited by law.

4. Action Required

There are two (2) methods of receiving an entry in this Sweepstakes (each, an “Entry”). Eligible participants may enter via one (1) of the following two (2) methods of entry as outlined below to enter this Sweepstakes (the “Sweepstakes Requirements”).

(i) Agreement Entry

During the Sweepstakes Period, eligible participants must sign and submit a storage unit Rental Agreement (the “Agreement”). The Agreement can be submitted at one of the Eligible Retail Locations, in person, via the telephone or via the Eligible Retail Location’s individual store website. For avoidance of doubt, any Agreement completed at a location not listed as one of the Eligible Retail Locations above, will not qualify as eligible for an Entry into the Sweepstakes. By completing and submitting an Agreement, you will be required to agree to the terms of the Agreement, which may include presentation of a major credit card to obtain a storage unit at the Eligible Retail Location. If you do not agree to the terms of the Agreement, you cannot enter the Sweepstakes via this method of entry. Participants will be responsible for any fees and/or other costs and expenses associated with submission of Agreement not described herein, including, but not limited to, additional occupancy charges such as damage to the unit space or facility, any default/recurring charges, clean up or disposal charges, and any applicable padlock cutting/removal fees. Important Note: Agreement will be subject to automatic renewal each month. In the event a participant no longer desires their rental unit following the first month of their Agreement, the participant must notify the participating location to request cancelation at least fifteen (15) calendar days prior to the participant’s monthly renewal date. The monthly renewal or payment of a rental unit is not required to enter the Sweepstakes and doing so will not increase your chances of winning the Prize.

Or, (ii) Form Entry

Alternatively, eligible participants can enter the Sweepstakes without an Agreement by filling out this form at https://primestorage.com/winaboat (“Form”). Any Form that is not complete in its entirety or has erroneous information will be deemed void and will not qualify as an Entry into this Sweepstakes at Sponsor’s sole discretion. There is no fee or cost associated with the Form method of entry.

Limit of one (1) Entry per eligible participant throughout the Sweepstakes Period, regardless of method of entry.

5. Grand Prize package (1):

The Grand Prize package consists of: A new sporting or cruising boat (winner’s choice of make, model, trim and color) with options and customizations selected in coordination with the Sponsor; a boat trailer for towing; a boat cover; four (4) life vests and $8,000.00, awarded in the form of an $8,000.00 check (intended to any administrative or miscellaneous fees and to off-set tax implications).  The total maximum Estimated Retail Value (“ERV”) of Grand Prize package is $42,000.00 (the “Prize”). There is only one (1) Prize available to be awarded in the Sweepstakes.

6. Winner Selection and Notification

The Drawing will be conducted from among all eligible entries received to select one (1) potential Prize winner. Drawing will be conducted by Trymark Consulting Group, L.L.C., an independent judging organization whose decisions are final and binding. Odds of winning will depend on the total number of eligible Entries received during the Sweepstakes Period. The potential winner may be notified by phone, e-mail, or text message (Data rates may apply. See your wireless carrier for text message rates and capabilities). In the event that any phone call/voice message, e-mail or text message to the potential winner is returned as undeliverable or a response to any given e-mail, text message, or phone call/voice message is not received within three (3) calendar days of the date of its issuance or potential winner is not in compliance with these Official Rules, the Prize may be forfeited and, at the Sponsor’s sole discretion, an alternate winner may be selected. Potential winner will be required to execute and return an affidavit of eligibility and a liability release and, where legal, a publicity release and IRS Form W-9 within three (3) calendar days of the date of issuance of those documents or prize may be forfeited and, at Sponsor’s discretion, awarded to an alternate winner. Sponsor shall not be responsible for failed attempts to notify the eligible winner, and no responsibility is assumed by Sponsor for any correspondence returned as undeliverable or any other problems associated with attempt(s) to notify the winner. The purchase of any goods or services will not increase any participant’s chances of winning.

7. General Prize Restrictions

The winner must accept boat delivery from a dealership location designated by Sponsor (the “Dealership Location”) by June 30, 2026. If the winner fails to collect the Prize within the time specified, Sponsor reserves the right in its sole and absolute discretion, to disqualify such winner and select a replacement winner from the remaining qualifying Entries. Prize recipient will be solely responsible for all federal, state, and local taxes, title and insurance, registration and licensing fees, boat dealer preparation fees, any storage rental fees incurred after December 31, 2026, and/or additional options, equipment or upgrades; and for any other fees or costs associated with the Prize received, regardless of whether the Prize, in whole or in part, is used. The Prize is non-transferable, with no equivalents or substitutions except at Sponsor’s sole and absolute discretion. The Prize and options, packages, accessories, and other specifics may be subject to availability at the time of award. Winner must have a valid boating safety certification (or license, if required by state of residence) and provide proof of boat insurance to take delivery of the boat. All Prize details not chosen by the winner will be determined by the Sponsor in its sole and absolute discretion. Prize details and availability are subject to change, and in the event that Sponsor is unable to provide the winner with his or her Prize, the Sponsor may elect to provide winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value. Prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Any such warranty and/or guarantee on any element of the Prize (if any) are subject to the manufacturer terms therefore, and winner agrees to look solely to such manufacturer for any such warranty or guarantee. Winner assumes all risks associated with the use, operation, and maintenance of the Prize, as applicable. The ERV of the Prize is based on available information provided to Sponsor and the value of the Prize awarded to the winner will be reported for tax purposes as required by law. Prize, if legitimately claimed, will be awarded. The Sweepstakes Entities are not responsible for and will not replace any lost, mutilated or stolen Prize or any Prize that is undeliverable or does not reach the winner because of an incorrect or changed address. If the winner does not accept or use the entire Prize, the unaccepted or unused part of the Prize will be forfeited, and the Sweepstakes Entities will have no further obligation with respect to the Prize or portion of the Prize. The Sweepstakes Entities are not responsible for, and winner will not receive the difference, if any, between the actual value of the Prize at the time of award and the stated ERV in these Official Rules or in any Sweepstakes-related correspondence or material.

8. Additional Terms

Administration: The Sponsor expressly reserves the right to amend, suspend or terminate this Sweepstakes at any time without prior notice or consent. Administration of this Sweepstakes is at the sole discretion of the Sponsor. Sponsor reserves the right to restrict at any time any Agreement holder from participating in this Sweepstakes for any reason. Any questions relating to eligibility, these Official Rules or any other questions concerning this Sweepstakes will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding with respect thereto. No groups, clubs, corporations, companies, partnerships, or organizations may participate in this Sweepstakes or reproduce or distribute any portion of these Official Rules to their members.

Release and Waiver of Liability: By participating in the Sweepstakes, participants agree to release, defend, indemnify and hold harmless the Sweepstakes Entities, Eligible Retail Locations, Dealership Location, and any of their respective affiliates, parents, partners, subsidiaries, advertising and Sweepstakes agencies, retailers, suppliers, distributors directors, and each of their respective officers, directors, managers, employees, shareholders, members, representatives and agents, (collectively, the “Released Parties”) from and against any and all liability claims or actions of any kind whatsoever (however named or described) for injuries, death, damages or losses to persons and property which may be sustained in connection with: (i) your participation in the Sweepstakes; and (ii) the receipt, use or misuse of the Prize, or while preparing for, participating in, and/or traveling to any Sweepstakes-related activity, including those damages caused by the Sponsor’s own negligence. The Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use or misuse of the Prize. In consideration of receiving the Prize, the winner hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of their name, photograph, likeness (including his/her voice), biographical information and statements concerning the Sweepstakes, in any and all advertising, Sweepstakes and other publicity conducted by the Sponsor, its parents, subsidiaries and affiliates.

Governing Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants and the Sponsor in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

Dispute Resolution: You agree that any claim or dispute that has arisen or may arise relating in any way to or arising out of the Sweepstakes, or these Official Rules will be resolved individually, without resort to any form of class action and exclusively by final and binding arbitration in accordance with the Federal Arbitration Act (“FAA”, Title 9 of the United States Code) under the auspices of the American Arbitration Association; the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and Judgment upon such arbitration award may be entered in any court having jurisdiction. You have the right to opt-out of this arbitration provision. If you do not agree to this mandatory arbitration provision with regard to this Sweepstakes, then within thirty (30) calendar days from the date of your Entry, you may opt-out of this, and only this, part of the Official Rules by notifying the Sponsor of such opt-out request by providing written notice and mailing such notice to: Prime Storage “Stash It & Splash It” Sweepstakes – Arbitration Rejection, P.O. Box 295, Gainesville, VA 20156. Any opt-out received after the thirty (30) calendar day time period will be invalid, and you must pursue your claim, if any, via arbitration pursuant to these Official Rules. Any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, if any, and in no event shall you be entitled to receive attorney’s fees or other legal costs or expenses. In the event that you opt-out of this mandatory arbitration provision, any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by a federal or state court located in New York County, New York.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SPONSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO REDEMPTION OF THE SWEEPSTAKES, EVEN IF FORESEEABLE OR EVEN IF THE SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous: No waiver of any of the provisions of these Official Rules shall be deemed or shall constitute a waiver of any other provisions hereof, nor shall waiver constitute a continuing waiver unless otherwise expressly provided. If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Rules, which will otherwise remain in full force and effect.

Winner’s List: The name of the winner (available after November 30, 2025) and/or a copy of these Official Rules may be obtained by mailing a self-addressed, stamped #10 envelope to: Prime Storage “Stash It & Splash It” Sweepstakes – Winner/Rules (please specify which), P.O. Box 295 Gainesville, VA 20156, for receipt no later than January 31, 2026.
