Official Rules for Prime Storage
"Store It & Floor It" Sweepstakes
NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THESE RULES GOVERN ALL ASPECTS OF PARTICIPATION AND THE PRIZE AWARD.
1. Description of Sweepstakes
Welcome to the ‘Store it and Floor it’ sweepstakes (the “Sweepstakes”).
The Sweepstakes is sponsored by Prime Group Holdings, LLC (the “Sponsor”), located at 85 Railroad Place, Saratoga Springs, NY 12866 and administered by Trymark Consulting Group, L.L.C., P.O. Box 295, Gainesville, VA 20156 (collectively, the “Sweepstakes Entities”). The terms “you” or “your” mean the person to whom a Prize (as defined below) is issued to upon satisfaction of the official rules set forth in this Sweepstakes. Entry in the Sweepstakes is expressly conditioned upon acceptance of and compliance with all of these Sweepstakes “Official Rules”. Sweepstakes participants may be required to sign paperwork issued by the Sponsor.
2. Sweepstakes Period
The Sweepstakes will begin on February 17, 2025 and conclude on April 3, 2025 (the “Sweepstakes Period”).
The drawing (“Drawing”) will take place on April 10, 2025.
3. Eligibility
The Sweepstakes is only open to individuals who are at least 18 years of age and reside within a twenty-five (25) mile radius of Sponsor’s Eligible Retail Locations set forth in Exhibit A attached hereto (each an “Eligible Retail Location”). Employees, officers and directors of the Sponsor, its affiliates, cable/satellite affiliates, advertising and promotion agencies, retailers, distributors, and each of such employees’, officers’, and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to participate in the Sweepstakes or receive a Prize. Void outside of the state of New York and where prohibited by law.
4. Action Required
There are two (2) methods of entry in this Sweepstakes (each an “Entry”). Entrants must enter via any method of entry below to enter this Sweepstakes (the “Sweepstakes Requirements”).
Agreement Entry
During the Sweepstakes Period, eligible participants must sign and submit a storage unit Occupancy Agreement (the “Agreement”). The Agreement can be submitted at one of the Eligible Retail Locations, in person, via the telephone or via the Eligible Retail Location’s individual store website. Limit of one (1) Entry per eligible participant. For avoidance of doubt, any Agreement completed at a location not listed as one of the Eligible Retail Locations above, will not qualify as eligible for an Entry into the Sweepstakes. By completing and submitting an Agreement, you will be required to agree to the terms of the Agreement, which may include presentation of a major credit card to obtain a storage unit at the Eligible Retail Location. If you do not agree to the terms of the Agreement, you cannot enter the Sweepstakes via this method of entry. Participants will be responsible for any fees and/or other costs and expenses associated with submission of Agreement not described herein, including, but not limited to, additional occupancy charges such as damage to the unit space or facility, any default/recurring charges, clean up or disposal charges, and any applicable padlock cutting/removal fees. Important Note: Agreement will be subject to automatic renewal each month. In the event a participant no longer desires their rental unit following the first month of their Agreement, the participant must notify the participating location to request cancelation at least fifteen (15) calendar days prior to the participant’s monthly renewal date. The monthly renewal or payment of a rental unit is not required to enter the Sweepstakes and doing so will not increase your chances of winning the Prize.
Form Entry
Alternatively, eligible participants can enter the Sweepstakes by filling out this form at https://primestorage.com/sweepstakes.com/ (“Form”). Any form that is not complete in its entirety or has erroneous information will be deemed void and qualify as an entry into this Sweepstakes at Sponsor’s sole discretion. There is no fee associated with the Form Entry.
5. Prize:
After satisfying the Sweepstakes Requirements, you will receive an Entry into a random drawing for the chance to win a [2025 Chevrolet Silverado 1500 Double Cab, Standard Box Custom, 4WD, Black Exterior] or comparable truck (model equipped with standard options and other options solely determined by Sponsor) (Manufacturer’s Suggested Retail Price (“MSRP”) $[45,999.00]) and $15,000.00 (awarded as a $15,000.00 check) (Estimated Retail Value (“ERV”) $15,000.00). Total maximum MSRP and ERV of Grand Prize package is $[60,999.00] (the “Prize”).
6. Winner Selection and Notification
A total of One (1) winner will be randomly selected to receive the Prize. The potential winner may be notified by phone, e-mail, or text message (Data rates may apply. See your wireless carrier for text message rates and capabilities). In the event that any phone call/voice message, e-mail or text message to the potential winner is returned as undeliverable or a response to any given e-mail, text message, or phone call/voice message is not received within three (3) calendar days of the date of its issuance or potential winner is not in compliance with these Official Rules, the Prize may be forfeited and, at the Sponsor’s sole discretion, an alternate winner may be selected. Upon receiving notification, the winner will have thirty (30) calendar days to take delivery of the Vehicle from [Mohawk Chevrolet located at 639 NY-67, Ballston Spa, NY 12020] (the “Dealership Location”). If the winner fails to collect the Prize within the thirty (30) calendar days, Sponsor reserves the right in its sole and absolute discretion, to disqualify such winner and select a replacement winner from the remaining qualifying participants. Sponsor shall not be responsible for failed attempts to notify the eligible winner and no responsibility is assumed by Sponsor for any correspondence returned as undeliverable or any other problems associated with attempt(s) to notify the winner. Odds of winning depend upon the number of eligible entries received. The purchase of any goods or services will not increase any participant’s chances of winning. Limit of One (1) Prize per eligible winner.
7. General Prize Restrictions
Prize recipients will be solely responsible for all federal, state, and local taxes, title and insurance, registration and licensing fees, dealer preparation fees and/or additional options, equipment or upgrades; and for any other fees or costs associated with the Prize received, regardless of whether the Prize, in whole or in part, is used. The Prize is non-transferable, with no equivalents or substitutions except at Sponsor’s sole and absolute discretion. The vehicle options, packages, accessories, and other specifics will be at Sponsor’s sole discretion and may be subject to availability at the time of award. Winner must have a valid driver’s license issued and proof of auto insurance to take delivery of the vehicle. All Prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Prize details and availability are subject to change, and in the event that Sponsor is unable to provide the winner with his or her Prize, the Sponsor may elect to provide winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value. The Prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). The approximate retail value (“ARV”) of the Prize is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. The winner may be required to provide Sponsor with a valid social security number before the Prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of winner. Unclaimed Prize will be forfeited. Prize, if legitimately claimed, will be awarded. The Sweepstakes Entities are not responsible for and will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Sweepstakes Entities will have no further obligation with respect to that prize or portion of the prize. The Sweepstakes Entities are not responsible for, and winner will not receive the difference, in any, between the actual value of the Prize at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or material.
8. Additional Terms
Administration:
The Sponsor expressly reserves the right to amend, suspend or terminate this Sweepstakes at any time without prior notice or consent. Administration of this Sweepstakes is at the sole discretion of the Sponsor. Sponsor reserves the right to restrict at any time any Agreement holder from participating in this Sweepstakes for any reason. Any questions relating to eligibility, these Official Rules or any other questions concerning this Sweepstakes will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding with respect thereto. No groups, clubs, corporations, companies, partnerships, or organizations may participate in this Sweepstakes or reproduce or distribute any portion of these Official Rules to their members.
Release and Waiver of Liability:
By redeeming this Sweepstakes, participants agree to release, defend, indemnify and hold harmless the Sweepstakes Entities, [Mohawk Chevrolet], and any of their respective affiliates, parents, partners, subsidiaries, advertising and Sweepstakes agencies, retailers, suppliers, distributors directors, and each of their respective officers, directors, managers, employees, shareholders, members, representatives and agents, (collectively, the “Released Parties”) from and against any and all liability claims or actions of any kind whatsoever (however named or described) for injuries, death, damages or losses to persons and property which may be sustained in connection with: (i) your participation in the Sweepstakes; and (ii) the receipt, use or misuse of the Prize, or while preparing for, participating in, and/or traveling to any Sweepstakes-related activity, including those damages caused by the Sponsor’s own negligence. The Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use or misuse of the Prize. The manufacturer’s limited warranty shall apply, and no other warranty, representation or guarantee is provided to the winner. In consideration of the Prize, each individual hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of such individual’s name, photograph, likeness (including his/her voice), biographical information and statements concerning the Sweepstakes, in any and all advertising, Sweepstakes and other publicity conducted by the Sponsor, its parents, subsidiaries and affiliates.
Governing Law:
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants and the Sponsor in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
Dispute Resolution:
You agree that any claim or dispute that has arisen or may arise relating in any way to or arising out of the Sweepstakes, or these Official Rules will be resolved individually, without resort to any form of class action and exclusively by final and binding arbitration in accordance with the Federal Arbitration Act (“FAA”, Title 9 of the United States Code) under the auspices of the American Arbitration Association; the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and Judgment upon such arbitration award may be entered in any court having jurisdiction. You have a right to opt-out of this arbitration provision. If you do not agree to this mandatory arbitration provision with regard to this Sweepstakes, then within thirty (30) calendar days from the date of your Entry, you may opt-out of this, and only this, part of the Official Rules by notifying the Sponsor of such opt-out request by providing written notice and mailing such notice to: Prime Storage “Store It & Floor It” Sweepstakes – Arbitration Rejection, P.O. Box 295, Gainesville, VA 20156. Any opt-out received after the thirty (30) calendar day time period will be invalid, and you must pursue your claim, if any, via arbitration pursuant to these Official Rules. Any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, if any, and in no event shall you be entitled to received attorney’s fees or other legal costs or expenses. In the event that you opt-out of this mandatory arbitration provision, any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by a federal or state court located in New York County, New York.
LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SPONSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO REDEMPTION OF THE SWEEPSTAKES, EVEN IF FORESEEABLE OR EVEN IF THE SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Miscellaneous:
No waiver of any of the provisions of these Official Rules shall be deemed or shall constitute a waiver of any other provisions hereof, nor shall waiver constitute a continuing waiver unless otherwise expressly provided. If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Rules, which will otherwise remain in full force and effect.
Winner’s List:
